Fair and accurate references to Rivertex for ordinary business-identification purposes are permitted, provided that they are not misleading and do not suggest an endorsement or relationship that does not exist.

The Website may contain links to, or embedded content from, websites, platforms and services operated by third parties.
These links and features are provided for information or convenience. Unless Rivertex expressly states otherwise, their inclusion does not mean that Rivertex:

Rivertex uses cookies and similar technologies as described in its Cookie Policy and Cookie Preference Centre.
Your acceptance of these Terms does not constitute consent to non-essential cookies. Where consent is required, Rivertex will request it separately through the Website’s cookie-consent mechanism.

18. Suspension or Termination of Access
Rivertex may suspend, restrict or terminate your access to all or part of the Website where Rivertex reasonably believes that:

• you have breached these Terms;
• your activity presents a security or operational risk;
• your activity may harm Rivertex or another person;
• access must be restricted to comply with applicable law;
• your activity interferes with the Website or connected systems; or

• loss arising from the Website being unavailable.

Where Rivertex has liability that cannot lawfully be excluded, its liability in relation to the Website will be limited to direct and reasonably foreseeable loss caused by Rivertex’s breach, to the extent permitted by applicable law.
Nothing in these Terms excludes or restricts liability where exclusion or restriction would be unlawful, including liability arising from:

• intentional misconduct;
• gross negligence;
• death or personal injury where such liability cannot lawfully be excluded; or
• any other liability that cannot be excluded or limited under mandatory law.

Swiss law provides that an advance agreement excluding liability for unlawful intent or gross negligence is void, which is why those liabilities are expressly preserved above.

To the extent permitted by mandatory law, the courts having jurisdiction at the registered office of Rivertex Holding AG in the Canton of Basel-Landschaft, Switzerland, will have exclusive jurisdiction over disputes arising from or connected with:

• access to the Website; or
• use of Website content.

Nothing in this section deprives a person of any mandatory right, remedy or forum available under applicable law that cannot lawfully be excluded or restricted, including mandatory data-protection, consumer, product-safety or e-commerce rights that may apply in the user’s jurisdiction.

24. General Provisions
24.1 Entire agreement concerning Website use
These Terms and the documents referred to in them constitute the agreement between you and Rivertex concerning use of the Website.
They do not constitute the entire agreement governing a quotation, order, delivery or other commercial transaction.
24.2 Severability
If a provision of these Terms is found to be invalid, unlawful or unenforceable, it will be treated as modified to the minimum extent necessary to make it valid and enforceable.
Where modification is not possible, the affected provision will be treated as deleted. The remaining provisions will continue in effect.
24.3 No waiver
A failure or delay by Rivertex in enforcing a provision does not constitute a waiver of that provision or of Rivertex’s right to enforce it later.
A waiver is effective only where confirmed by Rivertex in writing.
24.4 Transfer of rights
Rivertex may transfer its rights and obligations under these Terms to:

• another Rivertex group company;
• a purchaser of the Website or the relevant business;
• a corporate successor; or
• another entity as part of a reorganisation.

You may not transfer your rights or obligations under these Terms without Rivertex’s prior written consent.
24.5 No partnership or agency

25. Language
These Terms may be made available in more than one language.
The English-language version is the principal version used by Rivertex. Where there is an inconsistency between the English version and a translation, the English version will prevail to the extent permitted by applicable law.
Nothing in this section limits a mandatory legal right to receive information or contractual terms in another language.

27. Regional Mandatory Laws
These Terms are intended primarily for business and professional users. Nothing in these Terms excludes, restricts or modifies a right or remedy that cannot lawfully be excluded, restricted or modified under mandatory law in the country from which the Website is accessed. Where a mandatory local rule conflicts with these Terms, that mandatory rule will prevail only to the extent of the conflict.
